Terms of Service

1. Acceptance of terms

By accessing or using the Site, submitting a quote request, or otherwise interacting with Prime Clean through the Site, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and have the authority to agree to these Terms on behalf of yourself or the entity you represent.

2. Purpose of the Site

The Site is an informational and marketing website for Prime Clean's commercial and government janitorial and facility-cleaning services. The Site is not an e-commerce platform — it does not process payments, and using the Site does not by itself create a contract for cleaning services between you and Prime Clean.

3. Quote requests & inquiries

When you submit a commercial quote request or government/public-sector inquiry through the Site, you are asking Prime Clean to contact you with information, an estimate, or a capability statement. Submitting a request does not obligate Prime Clean to provide services, and does not obligate you to purchase services. You agree to provide accurate, current, and complete information when submitting a request, and not to submit false, misleading, or fraudulent information.

Response times referenced on the Site (for example, "usually within one business day") are estimates based on typical turnaround and are not guaranteed.

4. Separate service agreements

Any actual cleaning services provided by Prime Clean — including scope of work, pricing, schedule, insurance and bonding terms, and specific performance obligations — are governed by a separate, signed service agreement, work order, or government contract between Prime Clean and the client or agency, and not by these Terms. In the event of a conflict between these Terms and a signed service agreement, the signed service agreement controls with respect to the services it covers.

5. Acceptable use

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to the Site, its servers, or any connected systems
• Interfere with or disrupt the Site's operation, including through malware, denial-of-service attacks, or excessive automated requests (scraping)
• Submit false information through the quote-request or inquiry forms, including impersonating another person or entity
• Copy, reproduce, or republish substantial portions of the Site's content for commercial purposes without our written permission

6. Intellectual property

The Site and its content — including text, graphics, logos, the Prime Clean name and marks, and the overall look and feel — are owned by or licensed to FG Digital Agency LLC and are protected by copyright, trademark, and other intellectual property laws. You may view and print pages from the Site for your own personal or internal business reference (for example, saving our capability statement for a procurement file), but you may not otherwise copy, modify, distribute, or create derivative works from the Site's content without our prior written consent.

7. Certifications & registrations

Prime Clean represents that, as of the effective date of these Terms, it holds active Women-Owned Small Business (WOSB) certification, California Small Business (SB) certification (Cal eProcure Certification No. 2041245), and Department of Industrial Relations (DIR) contractor registration (Registration No. JS-LR-1001318678), and maintains an active SAM.gov registration and Cal eProcure listing. Certification and registration statuses can change; current status and supporting documentation are available on request via our Government Contracting page or by contacting us directly. Nothing on the Site should be relied upon as a substitute for verifying current certification status directly with the issuing agency for purposes of a specific procurement or bid.

8. Third-party links

The Site may link to third-party websites, such as SAM.gov or Cal eProcure, for your convenience. We do not control and are not responsible for the content, accuracy, or practices of any linked third-party site. Inclusion of a link does not imply endorsement.

9. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT INFORMATION ON THE SITE (INCLUDING PRICING ESTIMATES, SERVICE DESCRIPTIONS, OR RESPONSE-TIME ESTIMATES) IS COMPLETE, ACCURATE, OR CURRENT.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FG DIGITAL AGENCY LLC, ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT ANY LIABILITY IS NOT VALIDLY DISCLAIMED, OUR TOTAL LIABILITY ARISING OUT OF YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LAWFULLY BE LIMITED UNDER CALIFORNIA LAW. THIS SECTION DOES NOT APPLY TO A SEPARATE, SIGNED SERVICE AGREEMENT, WHICH GOVERNS LIABILITY FOR ACTUAL CLEANING SERVICES PERFORMED.

11. Indemnification

You agree to indemnify and hold harmless FG Digital Agency LLC and its owners, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Site, or information you submit through the Site that is false, misleading, or infringes the rights of a third party.

12. Governing law & disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Contra Costa County or Alameda County, California, and you consent to personal jurisdiction in those courts. Nothing in this section is intended to require arbitration of any dispute; if Prime Clean later adopts an arbitration or dispute-resolution process for these Terms, that process will be presented separately and will not apply retroactively without your agreement.

13. Changes to these Terms

We may revise these Terms from time to time. The revised Terms will be posted on this page with an updated "Last updated" date and will apply prospectively from that date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

14. Termination of access

We may suspend or terminate your access to the Site, without notice, if we believe you have violated these Terms or engaged in conduct that is harmful to the Site, other users, or Prime Clean.

15. Severability & entire agreement

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Prime Clean regarding use of the Site, and supersede any prior agreements regarding the Site.
